GASTROINTESTINAL INFECTION SOCIETY OF INDIA

CONSTITUTION (RULES AND REGULATIONS)

1. Introduction :
(i). Name of the Society: Gastrointestinal Infection Society of India (GISI)

(ii). Location of Registered office of the Society: The registered office of the Society shall be situated at Flat No 33, HEWO, Sector-5, Mansa Devi Complex, Panchkula.

(iii). Area of Operation: The area of operation of the Society will be throughout India, and officiating office will be situated at the place in India from where the General Secretary will be chosen.

(iv) Aims and Objects of the Society:

  • To promote the advancement of basic and clinical research on prevalent and emerging gastrointestinal infections.
  • To provide a platform for discussion and deliberations on various modalities for the diagnosis and treatment of gastrointestinal infections.
  • To promote scientific knowledge and disseminate the information collected to the members of the society and the general public from time to time.

(v) Conditions of the Society :
.(a) The income and property of the society shall be applied solely towards the promotion of the object of the society and no portion thereof shall be paid to or transferred directly or indirectly to the members of the society.

.(b) The Organizers of the GISI conference will have to pay 25% of the savings from the GISI conference to the Society funds.

. (c) No member of the Governing body of the society shall be appointed to any salaried offices of the Association or any office of the Association paid by fees and no remuneration shall be given by the Society to any member of such governing body except repayment of out-of-pocket expenditure and interest on money lent or rent for premises demised to the Society.

.(d) The Society by its constitution is required to apply its profits, if any, or the other income in promoting its objects.

.(e) If upon the winding up or dissolution of the Society there remains after satisfaction of all its debts and liabilities, any property whatsoever, it shall not be distributed among the members of the Society, but shall be given or transferred to some other institution having objects similar to the objects of the society to be determined by the members of the society at or before the time of dissolution.

2. Terms of Admission of Members: Any medical practitioner/basic scientist can be a Life Member, but the Executive Members of the Society will comprise only of microbiologists and gastroenterologists.

3. Consequence of non-payment of subscription fee: All the members admitted will be life members. For non-payment of subscription fees, he/she will not be a member.

4. Fine and forfeitures to be imposed on any member: Any member who will in later stages be found to be involved in any unethical practices will be discontinued as a member and his/her subscription will be forfeited. The Office bearers who will not contribute actively for the growth of the society shall also be discontinued.

5. Categories of Member of the Association:There will be four categories of Members.

(i) Founder Members: All persons involved in founding the Society shall be deemed as Founder members. They will look after the interest and the functioning of the Society and will be a part of the Governing Body of the Society throughout their lives.

(ii) Honourary Members Any person who is a renowned scientist or who has served in an outstanding manner to the cause of medical science or medical education in the field of Microbiology or Gastroenterology may be elected as an Honorary Member according to the procedure laid down in the bye laws, without any Membership fees, but will have no right to vote or to nominate.

(iii) Life Members Any person who is a renowned scientist or who has served in an outstanding manner in the cause of medical science or medical education in the field of Microbiology or Gastroenterology may be Life Member according to the procedure laid down in the bye laws. Any person from other disciplines who becomes a life member will have the right to vote or to nominate, but will not be eligible for any post in the Governing Body.

(iv) Associate Members Any corporate, on payment of requisite fees can become an Associate Member. They will get priority and concession over others for exhibition of their products during the conferences.

6. Privileges of Membership
I. All Life Members shall be entitled to participate in all activities of the Society including the right to vote subject to the bye laws. Corporate and Honorary Members will have all the privileges of a Life Member but will not have the right to vote or nominate or stand for any election to serve on the Governing Council, except in advisory positions.

II. Any person from other disciplines who becomes a life member will not have the right to stand as a candidate for the Governing Body Council. No member will be allowed to propose or second a nomination or stand as a candidate for any election unless his dues are cleared before the last date of receipt of nomination papers. No member who is in arrears of his dues will have the right to vote until his dues are paid before the time of voting.

III. Members whose dues are not complete will not be allowed to vote, nor to present a paper in the biennial conference. They will be required to register as non-members for the biennial conference.

7. Register of Members: A register of the members shall be kept by the Administrators of the Society in which membership in the various categories will be recorded setting down the names and addresses of the members. For the purpose of the Society, the address as mentioned in the register will be considered as the valid one. Any change in address must be intimated to the Administrators and confirmation must be received from them that the necessary change in the register has been effected.

8. Formation of General Body: The Founder Members will be the members of General body and Governing Body throughout their lives.

9. Administrative and Financial powers of the Society: All the administrative powers of the Society will be vested with Prof. Chetana Vaishnavi, Founder of the Society and Prof. Harminder Singh, Prof. Meera Sharma, Prof. Pallab Ray, Prof. Varsha Gupta and Prof. Atul Sachdev. They will have the powers to amend the bye-laws for the benefit of the Society. The financial power of the Society will be vested with Prof. Chetana Vaishnavi, Prof. Varsha Gupta and the treasurer appointed from time to time. The Bank account will be at Chandigarh/Panchkula and main signatory will be Prof. Chetana Vaishnavi and the second signatory will be either Prof. Varsha Gupta or the treasurer appointed from time to time.

10. Meeting/Quorum of the general body: There will be a meeting of the general body wherever the GISI conference will be held anywhere in India.

11. Formation of Rules and Regulations: The rules and regulations of the Society will be formed by the Founder Members of the Society. Life members of the society can give their suggestions and views which will be considered by the Founder Members if found suitable.

12. Mode of election of the Governing Body: The elections for the Society will be held from Regd. Office by Prof. Chetana Vaishnavi along with Prof. Meera Sharma and Prof. Atul Sachdev during their life time and the same power will be given to their legal heirs.

13. Power and function of the Governing Body: Day to day and yearly decisions will be taken by the Governing Body with the approval of the Founder Members.

14. Meeting/Quorum General Body: If there are a minimum of two to three founder members and three to five life members the quorum for the General Body meeting would be thought to be completed.

15. Power and duties of each of office bearer: Powers and duties of each office bearers will be as described in the Constitution of the Society.
President: To lead the Society, to enroll new members and get financial aid to the Society in order to achieve the main objectives of GISI.
President-Elect: Will help the President in achieving the above targets. He/she will automatically become the President of the Society during the next session.
1 Secretary: Will conduct the Governing Body meeting from time to time with the advice of the President and help in achieving the goals of the Society. The Secretary will also give yearly report of the activities of the Society to the Administrators of the Society.
Joint Secretary: The joint secretary will help the Secretary and the President for achieving the goals of the Society.
Treasurer: Will maintain the accounts of the Society and along with the President and the Secretary of the Society will submit the returns to Income Tax department.
Editor: Will be responsible for the publication of the Society’s Journal from time to time after proper editing of the received manuscripts. The funds for the publication of the journal and mailing of the journal will have to be collected through advertisements. The funds received will have to be deposited in the Society's account.
Assoc. Editor: Will assist the Editor for the publication of the Society’s Journal and help the Editor for getting the advertisements and the manuscripts for the journal.
Asst. Editor: The Assistant Editor will help the Editor in getting the advertisements and manuscripts for the journal. Will also be responsible for collecting materials for the newsletter, designing the newsletter and after approval from the President/Administrators, e-mailing the same to all the GISI members.
Executive Members: Will give their views for proper functioning of the Society. The will also be responsible for raising funds for the Society.

16. The manner of the investment of the funds, keeping of account and for annual or periodical Audit of the Account by a certified Chartered Accountant: Investments of funds will be for the growth and betterment of the Society. A publication of scientific journal shall also be made. Periodical audit shall also be made by appointing a Chartered Accountant.

17. Biennial Conferences: All the past Presidents will be given free registration, free accommodation and travel expenditure by the Organizers of the conferences.
